By accessing and using IDX AutoBot's AI-powered Web3 market making engine and automated trading platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement.

If you do not agree to abide by the above, please do not use this service. These terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

IDX AutoBot provides an automated trading platform that allows users to create, configure, and manage AI-powered trading bots on the Solana blockchain. Our services include:

• AI-powered market making algorithms
• Automated trading bot creation and management
• Real-time market data and analytics
• Gas fee management and optimization
• Performance monitoring and reporting
• Technical support and documentation

3. User Accounts and Registration

3.1 Account Creation

To use our Service, you must create an account by providing accurate, current, and complete information. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

3.2 Account Responsibilities

• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• Ensure your account information remains accurate
• Accept responsibility for all activities under your account

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Engage in market manipulation or fraudulent activities
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the Service
• Use the Service for illegal or unauthorized purposes
• Transmit harmful code or malware
• Harass, abuse, or harm other users

5. Financial and Trading Risks

5.1 Investment Risks

Trading cryptocurrencies involves substantial risk of loss and is not suitable for all investors. The value of cryptocurrencies can go down as well as up, and you may lose some or all of your investment.

5.2 No Investment Advice

We do not provide investment advice, and our Service should not be considered as such. All trading decisions are your responsibility, and you should consult with qualified financial advisors before making investment decisions.

5.3 Technical Risks

• Market volatility and price fluctuations
• Technical failures and system downtime
• Network congestion and transaction delays
• Smart contract vulnerabilities and bugs
• Regulatory changes affecting trading

6. Fees and Payments

6.1 Service Fees

We may charge fees for certain features and services. All fees are clearly displayed and will be deducted from your account balance or wallet as applicable.

6.2 Gas Fees

Users are responsible for all gas fees associated with blockchain transactions. Gas fees are determined by network conditions and are not controlled by IDX AutoBot.

6.3 Refund Policy

Refunds are provided in accordance with our refund policy. Service fees are generally non-refundable.

7. Referral Program

7.1 Program Overview

IDX AutoBot offers a referral program that allows eligible users to earn cashback rewards by referring new users to our platform. The program is designed to reward users for helping grow our community while providing benefits to both referrers and referees.

7.2 Eligibility Requirements

To participate in the referral program, you must:

• Have an active and verified account with IDX AutoBot
• Be in good standing with no violations of these Terms of Service
• Provide a valid Solana wallet address for receiving referral rewards
• Comply with all applicable laws and regulations
• Be at least 18 years of age or the age of majority in your jurisdiction

7.3 How the Referral Program Works

When you create an account, you will receive a unique referral code and referral link. You can share this code or link with others. When someone uses your referral code or link to sign up and make qualifying purchases, you become eligible to receive referral rewards.

• Each user receives a unique referral code upon account creation
• Referral links are generated in the format: https://dev.tools.idxsolana.io/?ref={your_code}
• New users must sign up using your referral link or enter your referral code during registration
• Referral relationships are established at the time of the referred user's first qualifying purchase

7.4 Reward Structure

Referral rewards are calculated as a percentage of qualifying purchases made by users you refer. The current reward structure is as follows:

• First Purchase Bonus: Referred users receive 10% cashback on their first qualifying purchase when using your referral code
• Referrer Rewards: You will receive 5% cashback on all qualifying purchases made by users you refer
• Rewards are calculated based on the purchase amount after any discounts or promotions
• Rewards are subject to verification and may take up to 30 days to process after a qualifying purchase

7.5 Wallet Requirements

To receive referral rewards, you must provide a valid Solana wallet address. Important requirements include:

• You must link a valid Solana wallet address to your account before sharing your referral code
• The wallet address must be a valid Solana address (32-44 characters, Base58 encoded)
• You are responsible for ensuring the accuracy of your wallet address
• IDX AutoBot is not responsible for rewards sent to incorrect wallet addresses
• You can update your wallet address at any time, but changes may affect pending reward distributions

7.6 Qualifying Purchases

Not all purchases qualify for referral rewards. Qualifying purchases include:

• Purchases of service subscriptions or premium features
• Token purchases for platform services
• Other paid services explicitly designated as eligible for referral rewards

The following do NOT qualify for referral rewards:

• Free trials or promotional offers that do not require payment
• Refunded or cancelled purchases
• Purchases made using fraudulent methods
• Purchases that violate these Terms of Service
• Gas fees or transaction fees

7.7 Reward Payments

Referral rewards are paid directly to your linked Solana wallet address. Payment terms include:

• Rewards are typically processed within 30 days after a qualifying purchase is completed
• Rewards are paid in the native token or cryptocurrency as determined by IDX AutoBot
• You are responsible for any gas fees or transaction fees associated with receiving rewards
• Minimum reward thresholds may apply before payments are processed
• Rewards are subject to verification and may be delayed or withheld if fraud is suspected

7.8 Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination from the referral program and forfeiture of all rewards:

• Creating multiple accounts to self-refer or manipulate the referral system
• Using fake, stolen, or fraudulent identities to create referral accounts
• Using automated systems, bots, or scripts to generate referrals
• Purchasing referrals or engaging in referral exchanges
• Spamming or harassing users to use your referral code
• Misrepresenting the referral program or making false claims about rewards
• Using referral links in violation of any platform's terms of service (e.g., social media platforms)
• Engaging in any activity that we determine to be fraudulent, abusive, or in violation of these Terms

7.9 Fraud Prevention and Verification

IDX AutoBot reserves the right to investigate and verify all referral activities. We may:

• Review referral relationships for signs of fraud or abuse
• Require additional verification before processing rewards
• Withhold or cancel rewards if fraud is detected
• Terminate accounts involved in fraudulent referral activities
• Take legal action against individuals or entities engaged in referral fraud

7.10 Program Modifications

IDX AutoBot reserves the right to modify, suspend, or terminate the referral program at any time, with or without notice. We may:

• Change reward percentages or structures
• Modify eligibility requirements
• Add or remove qualifying purchase categories
• Implement minimum or maximum reward thresholds
• Suspend the program temporarily for maintenance or updates
• Terminate the program entirely

Material changes to the referral program will be communicated to participants with reasonable notice. Your continued participation in the program after such changes constitutes acceptance of the modified terms.

7.11 Referral Program Termination

Your participation in the referral program may be terminated if:

• You violate these Terms of Service or the referral program rules
• You engage in fraudulent or abusive activities
• Your account is suspended or terminated for any reason
• We determine that your participation is harmful to the program or other users

Upon termination, you will forfeit any pending or unpaid rewards, and you will no longer be eligible to earn new referral rewards. Previously paid rewards will not be reclaimed unless obtained through fraud.

7.12 Tax Obligations

You are solely responsible for reporting and paying any taxes applicable to referral rewards you receive. IDX AutoBot may be required to report reward payments to tax authorities in certain jurisdictions. We recommend consulting with a tax professional to understand your tax obligations related to referral rewards.

7.13 Limitation of Liability

IDX AutoBot is not liable for any losses, damages, or issues arising from:

• Incorrect or invalid wallet addresses provided by you
• Delays in reward processing due to network congestion or technical issues
• Loss of rewards due to wallet security breaches or unauthorized access
• Changes to the referral program structure or termination of the program
• Disputes between referrers and referees

8. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of IDX AutoBot and its licensors. The Service is protected by copyright, trademark, and other laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

9. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding the collection and use of your information.

10. Disclaimers and Limitations

9.1 Service Availability

We strive to provide reliable service but cannot guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.

9.2 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.3 Limitation of Liability

IN NO EVENT SHALL IDX AUTOBOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

You agree to defend, indemnify, and hold harmless IDX AutoBot and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

12. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

11.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

11.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which IDX AutoBot operates, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration association.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
